Solar Maid Operator Contract: (Operator # XXXXX )

This contract is entered into by the following parties. The Solar Maid Company, to be referred as, Solar Maid hereinto and XXXXXX to be referred to as Operator.

Contract to be signed and dated then returned to Solar Maid by Operator:Solar Maid has agreed to provide unlimited use of the Solar Maid brand to said, operator for a period of time described as non-ending, based on the continued yearly license renewal fee. Operator agrees to abide by the terms and conditions for name rights defined as: for business purpose related to all Solar Maid products and services existing and those developed in the future. Operator is not required to use the Solar Maid name at anytime or in any manner that does not coincide with the best interest of their business model. If Operator uses the Solar Maid name as a primary or secondary identity they do so without additional obligation to Solar Maid. Operator agrees to protect the Solar Maid name from harm and to abstain from usage of the name in any offensive manner.The purchase of specified territory grants full ownership to operator for unconditional management for a period of time described as non-ending.

Operator has the right to develop a solar panel cleaning and maintenance business without interference from Solar Maid. These rights give sole authority to operator on all current and future business functions including the rights to: 1. Marketing and Promotion of the Solar Maid trademark within assigned territory2. Participation and or display in any local or national industry events as a Solar Maid identity3. Territory specific business development4. Development of additional products and or services5. Level of service/ Customer selection6. Resell rights on all Solar Maid labeled products and services including transfer of ownership of the Solar Maid territory ( under the original obligations agreed to by operator)7. Expansion of business into additional territories under the Solar Maid brand (where available)8.

Solar Maid grants exclusive territory rights to Operator based on agreement made during the purchase proceedings. These territory (s) (is)(are) defined as: XXXXXXX. 1 General XXXXXXXXXXXX. Fixed Territory Boundaries Detailed As: XXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXXBorders for these territories are defined as both fixed & general and are agreed to be worked in accordance to the terms and conditions of purchase under the “Honor System”. “Fixed” territory borders are described above as “Operators Territory” whereas “General” is considered areas outside stated fixed territory. Operators may be asked to expand their territories by request of Solar Maid to cover un-serviced locations/contracts. These requests come with no additional requirements of fees or obligation to operator and operator has full rights to accept or deny said request. Operators may be asked to travel into other designated territories ( where operations have not been established) to perform cleaning and maintenance services. When this type of issue arises, operator has the right to secure contracts specific to that request and will maintain ownership of said contract at their discretion. This ownership will stay in affect even after a new operator is developed in the previously vacant territory. Current operators, obligation in these matters is to advise Solar Maid regarding the details of this contract, so it may be stated as “Off Limits” on any future contracts generated for previously vacant territories.

Renewal Fees: Licenses will be subject to renewal fees as stated and described on the web site. As part of the disclosed license agreement, these fees are subject to change at the sole discretion of Solar Maid, but not within a four (4) year interval from the original date of purchase. Operator agrees to the billing of renewal fees around the 12^th month of ownership and on a continual 12 month basis thereafter. Operator understands and agrees that failure to maintain said fees will result in a forfeiture of ownership rights to both the territory license and use of the Solar Maid name.

Operator Obligation:Operator agrees that they will commit to purchase a minimum of $120.00 USD of product and or services from Solar Maid during any 12 month period. These items apply to all current and future offerings provided through the Solar Maid web site. Failure to meet this obligation can in some cases be waived, but only at the full discretion of Solar Maid. If obligation is not met and an agreement to waive said obligation is not agreed upon, operator forfeits ownership of both territory license and rights to usage of the Solar Maid name and brand. This obligation is a standard requirement for all levels of licensing. Operator agrees to allow Solar Maid to include them whether in copy or image for promotional materials related to advancement of the Solar Maid “Brand”. Solar Maid will supply and host a separate web site exclusively for operator but, with specific content at the operator’s discretion. Solar Maid agrees to provide continual promotion of Solar Maid brand for the advantage of all operators. This includes but is not limited to industry networking, online and off-line promotions both local and national, relationship development with current and future PPA providers and government entities.

Operator understands and agrees that the development of a strong network of independent operators all of whom represent the local “face” of the Solar Maid brand, will be the impetus of our future success, as such, operators agree to present themselves in a professional manner by way of the general public/ potential contractors/ government entities/ Current and or potential operators/ Other Solar Industry professionals. Operators agree to carry individual insurance coverage for activities related to the maintenance and general operation of their business and to not hold The Solar Maid Company liable for any unforeseen circumstances. Solar Maid provides all operators unlimited consultation on all matters related to business operations and direct referrals. Solar Maid will not hold individual operators liable for any unforeseen circumstances in regards to the function of our business. Operator understands that they are not subject to the rules and regulations associated with a franchise, the Solar Maid network of operators are independent of each other and The Solar Maid Company and work together only in name for purposes of “Branding” the Solar Maid Trademark.

Operators will be granted special distributor pricing on all future products and services developed or contracted through Solar Maid. Solar Maid agrees to provide operator all leads (specific to the operators territory as described above), solicited and unsolicited in a timely manner, operator agrees to provide a best effort when following these leads and in an acceptable business manner. Many projects require support through the Solar Maid HQ’s beyond basic marketing and lead generation including preliminary project quoting, customer and technical support, equipment or financial support and coordination of bundled multiple asset contracts which will require a 2% administration payment of any awarded contract and will be considered a first lien on any original payments made by the customer.

The Solar Maid Company: Agrees to act as a primary referral agent for all of their operators in the development of any potential contracts. Solar Maid marketing efforts are focused primarily on the commercial markets with continued efforts to grow and develop relationships with PPA providers/ Energy Management Organizations/ Utilities/ Large Commercial system owners. Solar Maid provides limited, but effective marketing programs focused on the residential system market through various on and off-line market programs based solely on operator supported territories. Solar Maid provides unlimited operator phone & on-line support for licensees in the development of their local territory. The general office hours for Solar Maid are Mon-Fri 9-5 Est., but Solar Maid supports their operators with an On-call support representative that is available to all licensed operators 24/7/365 Solar Maid provides complete details in the multiple format options for the solar panel cleaning and maintenance business including, pricing and marketing options for growing the local Solar Maid operation. These business structure options are outlined in the Solar Maid business manual which is included as part of all license options.

The added materials for marketing, business development, and operations are to be considered guidelines to a successful business, but are not required to be used if the party purchasing this package decides otherwise. All materials provided Including: Networking activities, Marketing of the service intended through the specific name of the company and under no circumstance to be used for in violations deemed in good taste. The name Solar Maid should not be associated with vulgar or pornographic materials or any unlawful practices. You are aware that you are not purchasing a franchise or distributorship of any kind. The Solar Maid Company, agrees to deliver all of the stated items in a timely fashion, generally two to three weeks upon clearance of payment by your selected means. You understand that personal checks do require additional clearance time and agree that if this is your preferred method of payment a potential delay will occur in the processing of the Solar Maid Business Package. You have read and agree to the requirements set forth by The Solar Maid Company concerning the must have items of business performance 1. valid drivers license and use of a vehicle worthy of the job duties in your charge as well as any state required business license and the state minimum liability insurance. You will not hold liable The Solar Maid Company for any unforeseen physical short comings that may prevent you from meeting the minimum standards that would be required to fulfill the duties needed to be successful at this type of service work. Including the ability to walk, speak, lift a ladder, climb a ladder, get wet or spend extended hours in the outdoor elements whether they , be any season of the year. You will not hold The Solar Maid Company liable for any damages caused to third party property during the regular courses of action deemed necessary to complete the requirements of the service position. This business opportunity is a licensing agreement between the parent company of Solar Maid (AE Media Group LLC) and the individual or company that purchases it for the use of creating a business to clean/inspect/provide simple maintenance/etc. for solar pv/thermal/ hot water systems. Buyers need to be aware that this is not a franchise, but instead a nationwide network of licensed operators working under the Solar Maid name and brand. Licensed operators agree to provide an acceptable level of service to their clients that would be defined under any general guidelines set forth within the confines of any service business. Under the license agreement, Solar Maid agrees to forward all leads for a specific territory to the licensed operator in said territory without restrictions. Operator has full right of refusal to any and all leads provided to them, but agrees that if the work falls within the scope of our basic services, Solar Maid has the right to find a suitable alternative to meet the customer’s needs. This includes requesting that a licensed operator from another territory review and either accept or deny the opportunity to service that specific customer. All Solar Maid territory license holders agree to the following conditions of continued service under the Solar Maid name and brand: 1. Every 12 months the Solar Maid license must be renewed at the cost of $395.00USD plus the additional purchase requirement of $120.00 USD of products or services from the Solar Maid Company web site.You are an independent contractor using the tools and instructions provided to you through the Solar Maid business package, but fully understand that The Solar Maid Company has no legal rights to interfere with your business beyond circumstances that violate any of the terms of this agreement. The continued connection between you and The Solar Maid Company is limited to the items detailed in the Solar Maid business package. (based on the updated and continued renewal of license)1. Unlimited lead generation through our existing and future marketing programs. 2. Protection of your exclusive territory rights. 3. Unlimited technical and administration support. You are your own business with no affiliation with AE Media Group LLC, but will be providing service based on limited affiliation with The Solar Maid Company as previously stated. You understand and agree to the terms of the posted territories and fully understand that once outside of the designated territory you may no longer be allowed the unrestricted usage of the Solar Maid name, logo or brand without express written consent by a principal member of The Solar Maid Company. You are granted special buying power as a distributor in reference only to the products we sell on the web site. The Solar Maid Coompany has no right to interfere with the management of the organization that you develop after receiving the Solar Maid business package. All license sells are final do to the perishable and proprietary nature of the intellectual property that is transferred in the purchasing of said property. You may terminate these Terms of Use at any time by returning all materials obtained from this website and all related documentation and all copies and installments thereof whether made under the terms of these Terms of Use or otherwise in as new condition This Agreement will terminate immediately without notice from The Solar Maid Co. if you (a) fail to comply with any term or provision of these Terms of Use; or (b) are a repeat infringer of any third party's rights; or (c) engage in conduct that is illegal, or that interferes with the technological operation of this venture. There are no obligations to the licensed operator beyond the initial fee and annual license renewal payments, ($395.00 annually). In order for the Solar Maid Company to control the level of quality service that our customers demand and make certain that all territories are functioning and being supported by the licensee in a given territory, each licensed operator agrees to the following conditions. All operators will remain active in the territory, by responding to any inquiries within a timely manner, by keeping Solar Maid informed of any required updates to their web sites, by responding to all current or potential customers in a timely fashion. In addition to continuing licensing payments, (all options) operators agree to make a small annual commitment to Solar Maid, by purchasing a minimum of 120.00 dollars (USD) worth of products each calendar year from offerings on the Solar Maid web site. These items can include any of the products or services offered through the Solar Maid web site. ( Uniforms/ cleaning tools and solutions/ publications/ market materials, etc.) By failing to meet these simple and basic requirements of the licensing agreement the licensed operator understands that they forfeit their rights as a licensed Solar Maid operator and will no longer have exclusive rights to the name/territory or leads in said territory. These fees are subject to change at the sole discretion of Solar Maid, but not within a four (4) year interval from the original date of purchase and by no more than 10% in any one period. The Solar Maid Company reserves the rights to decrease renewal fees and product purchase requirements without notification. The network of Solar Maid operators are connected in name and function and supported by the main Solar Maid office. Operators are encouraged to share information among themselves with no restrictions set forth by the main office. Solar Maid provides standard web sites for each individual operator based on information provided as well as a Solar Maid specific email account. Solar Maid marketing efforts are designed to gather bidding opportunities from commercial & utility solar asset managers. The extent of marketing to the residential market is limited and each individual operator is expected to market the residential market within their specific territory. Solar Maid does generate numerous residential leads through the basic function of its business operation and agrees to the conditions of supplying these leads in the same manner in which commercial & utility leads are distributed. In cases that require the single source project management efforts of Solar Maid headquarters, a 2% project fee will be charged to that specific contract. These cases include, but are not limited to, preliminary project quoting, asset bundling projects, project logistics. Customer or site visits on behalf of any Solar Maid operator will be charged on a case by case basis and will amount to the actual cost of said visit plus 5% of that cost. Solar Maid operators have the rights to sell or transfer their updated Solar Maid territory license with the written consent of the main Solar Maid office. The terms of any resell or transfer of territory are an additional $1000.00 administration fee payable to AE Media Group LLC and purchaser must abide and agree to the terms and conditions under the original licensing contract. AE Media Group LLC reserves the unrestricted rights to the outright sale of the Solar Maid name, brand and or all business functions and affiliations at its own discretion. As protection to Solar Maid license holders, in this event, Solar Maid will refund license holders 200% of original license fee or the amount equal to the pervious three years of revenue generated through the Solar Maid services and products provided, whichever is greater. While details of a hypothetical circumstance such as this are impossible to define, AE Media Group LLC agrees to negotiate with best effort any such process with the long term continuity of the established network as a first priority. The Solar Maid Company will no longer sell territory licenses to those just interested in pure investment. Anyone purchasing a territory license will be subject a personal interview and be expected to build and operate a functional Solar Maid business to the best of their ability. Solar Maid licensed operators are not obligated to use the Solar Maid name in the operation of their business if they so chose, but must abide by the service terms of this agreement. The long term business model for The Solar Maid Company is to develop an operator network focused on solar cleaning and maintenance and as the distribution channel by which Solar Maid will distribute current and future solar products and services. Purchasing of territory license gives operator full control of resale rights within their specific territory and they have the full discretion of profit margins set for said items. (this does not include any direct Solar Maid web site based orders) Each new operator will be assigned an operator number that they will use when ordering products and services to receive stated discounts. The Solar Maid Company agrees to supply, on a best effort basis, monthly updates on the solar market conditions and the state of the Solar Maid network and any product or service discounts available. Operators agree to share with the Solar Maid main office or any of those in the Solar Maid network any images or copy related to their Solar Maid (or division offering solar cleaning services) business. In turn, all operators are free to use any publicly displayed image or copy generated and or copyrighted by AE Media Group LLC or The Solar Maid Company. The Solar Maid Company has limited language translation services available, but agrees to best effort in trying to meet the needs of each individual operator. No operator is required to speak & write English, but agrees that they can provide an English speaking/ writing representative when working with the main office. Solar Maid reserves the rights to act as the sole arbitraitor in all operator and territory disputes

The Solar Maid Company “CAN NOT” revoke any territory license except for violations of these terms and conditions. All legal matters concerning The Solar Maid Company or its parent company AE Media Group LLC will be processed at venues within the borders of Allegheny County, Pennsylvania. International Operators agree that the laws of the United States of America will take precedence over all other nations and their legal processes with no revision, exception or dispute.

You agree, to the fullest extent permitted by law, to indemnify, defend and hold harmless The Solar Maid Company, AE Media Group LLC and all partners from and against any claims, liability, losses, costs and expenses (including but not limited to reasonable attorneys' fees) incurred by any Solar Maid business operation in connection with any use or alleged use of the Solar Maid name or Solar Maid services within your territory by any person, whether or not authorized by you, or any other violation of these Terms of Use by you. The Solar Maid Company reserves the right to assume the exclusive defense and control, at its own expense, of any matter otherwise subject to indemnification by you. In such case, you agree to cooperate with The Solar Maid Co. in defense of such a claim.
